CONSTITUTION
Minutes of the founding members of the Assembly called voluntary House Perchéno of Social Rights? Group self-help (henceforth CDSA.MA Maddaloni ) of Maddaloni

CIRCUMSTANCES

that CDSA.MA Maddaloni work since January 2007 in Maddaloni, as territorial delegation Federation Focus, the definition and development of intervention strategies and social networking of local agencies to facilitate the integration of people in need and increase the supply of services in remote areas of the conurbation Caserta;
that CDSA.MA Maddaloni for 2006 - 2007 joins, through the CDS of Caserta, the project "Bianca & Bernie" for 2008/2009 and the annual benefits from one of two young civil service used to support the intervention in Maddaloni (Group self-help for families with severely handicapped psychophysical)

gathered in the Assembly will to establish an all-volunteer, according to the law 266/91, non-profit organization called House of Social Rights Perchéno? Group self-help (henceforth CDSA.MA Maddaloni ) of Maddaloni
with the purpose of
a) promote and sustain growth, the formation and organization of grassroots movements aimed at the protection consumers, citizens and members of families, and the protection of social rights (health, housing, food, etc.).
b) protect the fundamental rights of citizens under the Constitution, Europe, the United Nations, such as right to participation, safety, freedom of choice, a healthy environment;
c) raise public awareness, associations, political parties, public institutions, on violations of citizens' rights.
The Association will have the internal organization and discipline resulting in the Statute, consists of twenty-seven articles, which forms an integral part of this document which is attached under the letter "A" after reading all those present.
Article. 10 of the Statute of the members present shall act unanimously, the appointment of members of the Board of Directors namely:

The Directors, so appointed, claim to take the job.
The President of the Association will promptly appointed to the conduct of legal requirements, pursuant to art. 17 of the Statute, the legal representative of the Association before third parties and in court to the President for all acts of ordinary and extraordinary administration.
The Board so established shall remain in office for three years.
The charges for the registration of this Act shall be borne by the Association.
For this document, the Association requires the exemption from stamp duty and, in general, the tax treatment provided for by Legislative Decree no. 460/97.

STATUTE
Article 1 - Name
E 'Association established a voluntary, non-profit social organization, called the House of Social Rights Perchéno? Self-help group (henceforth CDSA.MA Maddaloni ) of Maddaloni.
Article 2 - See
The Association is based in Maddaloni, S. Linden Street Biagio No. 21.Essa may establish branch offices and branches named House of Social Rights also in extracomunale.
The change in the registered office of the City of Maddaloni should not be construed as amending this Statute.
Article 3 - Purpose of the
1.The 'Association, which has no profit, and intends to pursue exclusively charitable purposes, stems from:
a) promote and sustain growth, training and the organization of grassroots movements aimed at the protection of citizen users, families and consumers, protection of social rights (health, housing, food, etc.).
b) activate articulated forms of self-organization and several of the citizens (eg self-help groups);
c) protect the fundamental rights of citizens under the Constitution, Europe, the United Nations, such as the right to participation, safety, freedom of choice, a healthy environment;
d) raise public awareness, associations, political parties, public institutions, on violations of citizens' rights.
2.Scopo Association is conducting promotional activities, training and development of active citizenship. 3.All
order to achieve the objectives, the Association promotes and organizes the "Case of Social Rights," which centers promotion of local grassroots movements and organizations defending the rights of citizens (health, housing, food, etc.).
4.promuove, in collaboration with other organizations, associations and European federations, the constitution of a European Conference of Associations and national associations, citizens and members of families, consumers and defense of social rights;
5.promuove education initiatives, training and guidance for consumption in any form, for the purpose of raising awareness and personal growth of citizens and political parties, associations, institutions;
6.promuove initiatives, including self-organized, aimed at the social and enhancement of mental and physical potential of children, elderly, disabled, migrants, women in distress and all the people in need through the following activities: social secretariat, counseling, medical, nursing, physiotherapy, speech therapy, psychomotor, clown therapy, pet terapy, play therapy, music therapy, creative workshops;
7.organizza alone and in partnership with agencies and institutions planning activities, research and training aimed at identifying and disseminating good practice;
8.presta legal-technical assistance the associated social and associations, federal, both directly and indirectly through the representation in public and private local, national and international demand for sue and be sued in civil and criminal proceedings and court litigation and arbitration;

11.promuove and disseminate knowledge and information pertaining to the protection of consumers and citizens and members of families, inspired by the principles established by the European Union, the United Nations and international organizations (FAO, WHO, and IOCU BEUC) responsible for protecting the health and human rights with which the organization works and to which he subscribes;
12.pubblica own information tools and training, and advertising, using the same tools, information relating to associations;
13.promuove regional and national legislation for the protection of citizens and members of families and consumers and for the protection of social rights
14.promuove a database for collecting and processing data related to the defense of citizen users, families, consumers and the violation of citizens' rights.
15.L 'Association will not engage in activities other than those specifically mentioned except for those directly connected or ancillary in nature to those statutes, as integrated manner, to the extent permitted by Legislative Decree no. 460/97 and subsequent amendments and additions.
Article 4 - Duration
The Association shall be indefinite.
Article 5 - Heritage
1.Il Heritage Association consists of:
a) movable and immovable property which become the property of the Association;
b) any reserve funds with the budget surplus;
c) any payments, gifts or bequests.
2.The revenue of the Association shall consist of:
a) voluntary contributions from individual members;
b) donations and grants to public bodies, companies, individuals,
c) contributions from the State and other government agencies, including the performance agreement or under the accreditation activities established for the purposes of social and health carried out in accordance with the aims of the institution;
d) revenues of movable and immovable property received by the association in any capacity;
e) contributions arising from the financing of projects in accordance with its institutional purposes;
f) income from public collections made occasionally in conjunction with celebrations, anniversaries or awareness campaigns, including offers of goods of low value .
MEMBERS
Article 6 - Registration
1.Possono be part of the individuals that they are in possession of the following requirements:
a) share the aims and purposes of the Association
b) accept the Statute and Rules
c) provide their to support the activity.
2.In order to qualify for any aspiring member must submit an application to the Association, the admission or non admission will be decided by the Board. 3.I
Members who have not submitted their resignations in writing by December 31 of each year will be considered for membership the following year.
4.Il Board annually sets the amount of minimum payment to be made upon accession to the Association from those who wish to join. 3.E

Article 7 - Rights and duties of the members
1.The 'accession to the member association implies the right of legal age to participate in the management of the Association through the exercise of voting rights in and to approve amendments to the Rules and Regulations and the appointment of management bodies.

4.La Membership status is lost due to withdrawal, resignation, exclusion and decreed by the Executive Council, where the member no longer qualifies for admission or conduct or take action contrary to the aims of the Association or which prejudicial to the integrity, decorum and good name or in the event of repeated violations of the Statute and the provisions of the Governing Council for the proper achievement of social objectives.
Article 8 - Organs of

ASSEMBLY
Article 9 - Membership
1.The 'Assembly, ordinary and extraordinary, is the deliberative body of the association.
2.All 'shareholders, ordinary and extraordinary, have the right to attend all members.
Article 10 - Jurisdiction
The Ordinary Resolution:
  • approval of the budget sheet and budget of the association;
  • on the appointment of the Board and the Board of Auditors Counts;
  • on the broad and general guidelines of the Association and what else delegated by law or by statute and submitted by the Executive Council.
The Extraordinary Resolution:
  • on amendments to the articles of incorporation and the bylaws;
  • the possible dissolution.
Article 11 - Convening
1.The 'Assembly shall meet at least twice a year to approve the final budget (by April 30) and budget (by December 31). 2.The
'Ordinary and Extraordinary Shareholders shall be convened the Chairman of the Board of Directors, whenever deemed necessary or justified request is made to the Council by at least 1 / 5 (one fifth) of the members or by at least 1 / 3 (one third) of the directors or by the Board of Auditors by posting of the notice, at least eight days before the date fixed for the meeting at the registered office (or other means which the Board deems appropriate) in the notice will specify the place, date and time which will be held the same meeting and the agenda.
Article 12 - Constitution and resolutions
1.For the validity of shareholder resolutions, you full reference to Article. 21 CC. 2.The
'ordinary shareholders will be properly constituted with the presence of at least half plus one of the members; second call, to be held at least one day after the first, the resolution is valid whatever the number of participants. In resolutions approving the budget and those that affect their responsibilities, administrators do not have voting. 3.The
Extraordinary Stockholders' Meeting will be duly constituted by the presence of at least ¾ (three quarters) of the members and the majority vote of those present on second call, you will need to have at least ¼ (quarter) of our subscribers.
4.The majorities are calculated on the basis of the members present. 5.The
'ordinary and extraordinary, both first and second calls, acting by a majority of those present to approve the dissolution of the association and the devolution of property, should the vote of at least ¾ (three quarters) of associates .
Article 13 - Implementation and verbalization
1.The 'meeting is chaired by the Chairman of the Board and, failing that, by the Vice President. In the absence of all members of the Council, the Assembly shall appoint its Chairman.

BOARD Article 14 - Appointment and composition

5.Il Council shall appoint, within itself, a President, Vice President, Treasurer, Secretary. The Council may delegate special powers or the performance of particular acts, specifically determined by one or more directors.
Article 15 - Jurisdiction
The Board of Directors is invested with power to decide on steps to be taken and on the criteria for the attainment and implementation the aims of the association and its leadership and ordinary and extraordinary.
In particular, the Council:
a) establish guidelines for the implementation of statutory tasks, we establish the procedures, the responsibility for implementing and monitoring the performance itself;
b) decide on capital investments;
c) acting on ' admission of members;
d) decide on the activities and initiatives of the association;
e) approve the draft budget, cash flow statement and balance sheet to be submitted to the shareholders, adding appropriate reports;
f) states the provision of services to members and third parties and its rules and procedures;
g) appoint and remove directors, employees, consultants, employees, staff educator and issue any measure concerning the staff in general;
h) confer and revoke powers of attorney;
i) complete any internal regulations for the mere operation of the association, whose approval is a matter for the Assembly and which is obligatory for all members.
Article 16 - Convening and deliberations
1.Il Council shall meet whenever the Chairman deems it necessary or when requested to do so for at least 2 / 3 (two thirds) of the members and at least once every three months .
2.La will call in the forms that the Board considers appropriate respecting the ordinary cases of at least eight days' notice in case of emergency may be called by telephone.

Article 17 - The President

Article 18 - The Vice President
1.Il Vice President replaces the President in every assignment each time they are prevented from the exercise of its functions. Only the intervention of the Vice President for the third test incapacity of the President.
Article 19 - The Secretary
1.Il Secretary acts as the minutes of the meetings of the Assembly and the Board of Directors and assists the President and the Executive Board in the executive activities which are necessary or expedient for the functioning of the Association.

Article 20 - The Treasurer

3.Provvede to revenue collection and payment of costs in accordance with decisions of the Board of Directors.
Article 21 - Books of the Association
addition to keeping the books prescribed by law, the Association provides to the estate:
- book of minutes of meetings and resolutions of the Assembly;
- book of minutes of meetings and the resolutions of the Board of Directors;
- book of minutes of meetings and resolutions of the Board of Auditors;
- book belonging to the Association.
Article 22 - Board of Auditors
1.La Management Association is managed by a Board of Auditors, consisting of three members elected by the shareholders.
2.The 'post of Auditor is incompatible with the office of Director.
3.Members the Board of Auditors may be reelected. 4.The
Auditors are responsible for the keeping of the book of meetings of the Board of Auditors, the right to participate in meetings of the Assembly and the Executive Council, with the right to speak but without voting rights, check the regulation of accounting ' Association and their books, prepare a written report in relation to the financial statements.
BUDGET
Article 23 - Financial statement and budget and fiscal years
1.The 'exercise shall end on December 31st of each year.
2.Il first financial year ends December 31, 2009.
3.No later than March 31 of each year the Council shall be convened for the preparation of the final budget for submission to the previous year.
4.Entro November 30 of each year the Council shall be convened for the preparation of the budget for the coming financial year to be approved by the Assembly. 5.The
budgets must be deposited at the headquarters of the 15 (fifteen) days before the Assembly convened for their approval at the disposal of all those who have motivated their interest in reading.
Article 24 - Advance management
1.All 'Association is prohibited to distribute, even indirectly, profits or operating surpluses, however denominated, as well as funds, reserves or capital during the life of the Association, unless the target or distribution is imposed by law or made for other non-profit social organizations (NGO) which, by law, statute or regulation are part of the same structure. 2.The
'Association is obliged to take profits or operating surpluses for the institutional activities and those directly connected.
Article 25 - Dissolution
1.In the event of dissolution, for any reason, the Association has the obligation to devote its assets to another non-profit social organization (NPO) or public purposes, after the inspection body referred to 'Article 3, paragraph 190, of L. 23/12/96 n. 662 destination unless otherwise required by law.
2. The dissolution of a resolution approved by the Assembly, with the majority required for Extraordinary General Meeting, which will appoint one or more liquidators and decide as to the allocation of assets.

Article 26 - Arbitration proceedings were
1.Any arise for the interpretation and enforcement of this statute between organs, between organs and between the members or shareholders, should be devolved to the final determination of an arbitration panel composed of three arbitrators friendly composers, who will judge "ex bono and former fair "without the formality of procedure, unless contradictory, within 60 days of the appointment.

All matters not expressly provided for in this Statute, it must refer to the rules of entities contained in Book I of the Civil Code and, alternatively, the rules contained in Book V of the Civil Code and in any event the legislation referred to Leg. 460/97 and subsequent amendments.
